1. Who Can Use the Service

You must be at least 18 years old and have the legal capacity to enter into these Terms. If you are using Donna AI on behalf of a business, you confirm that you have the authority to bind that business to these Terms.

2. Use of the Service

We grant you a limited, non-exclusive, revocable license to use the Service for your internal business use, subject to these Terms.

You agree not to:

• Use the Service for unlawful, harmful, or misleading purposes
• Attempt to reverse-engineer, copy, or resell the Service
• Violate any laws (including Canadian PIPEDA and U.S. state/federal regulations)
• Use the Service to collect or process sensitive information without proper legal consent (e.g., financial, health, biometric, or personal info of minors)

You are responsible for securing your account, API keys, and access credentials.

3. Call Recordings and Voice Data

By using Donna AI, you consent to the collection and processing of voice data, including:

• Audio recordings of calls
• Transcriptions and call metadata

You are responsible for notifying your clients or callers that their calls may be recorded and/or transcribed for business and quality assurance purposes, in accordance with applicable laws in your jurisdiction.

4. Data and Privacy

Our handling of data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You retain ownership of your Customer Data. You grant us a license to process and store it as necessary to deliver and improve the Service.

5. Fees and Payments

If you subscribe to a paid plan:

• Fees are billed as stated on our website or your invoice
• Payments are non-refundable unless required by law or otherwise stated
• We may suspend or cancel accounts for non-payment

6. Intellectual Property

All intellectual property rights in Donna AI's software, branding, and services belong to us or our licensors. You may not use our trademarks or copy our software without written permission.

7. Service Availability

We aim to provide reliable service but do not guarantee 100% uptime. The Service may be interrupted for maintenance, updates, or factors outside our control.

8. Limitation of Liability

To the fullest extent permitted by law, Donna AI is not liable for:

• Any indirect, incidental, or consequential damages
• Loss of data, profits, or revenue
• Any damages exceeding the amount you paid us in the past 12 months

Some jurisdictions do not allow exclusions of certain liabilities, so this may not apply to you.

9. Termination

You may cancel your account at any time. We may suspend or terminate your access if you violate these Terms or applicable laws.

10. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada (for Canadian users) and Delaware, United States (for U.S. users), without regard to conflict of laws. You agree to resolve any disputes through arbitration or courts located in Toronto, Ontario or Wilmington, Delaware.

11. Changes to Terms

We may update these Terms from time to time. We'll notify you of material changes via email or on the platform. Continued use of the Service after changes constitutes your acceptance.
